Welcome to NJ Premium Web (“NJ Premium Web,” “we,” “us,” or “our”). These Terms of Service (“Terms”) govern your use of the NJ Premium Web website and your purchase or use of our website design, development, maintenance, SEO, eCommerce, hosting, consulting, and related services.
By accessing our website, requesting a quote, purchasing a service, entering into a service agreement, or otherwise engaging NJ Premium Web for services, you acknowledge that you have read, understood, and agree to these Terms.
If you do not agree with these Terms, please do not use our website or purchase our services.

The specific services included in your project or service plan will be determined by the applicable proposal, quote, invoice, service description, or written agreement.
Not every service is included in every package.
2. Quotes and Project Agreements
Quotes and proposals provided by NJ Premium Web are based on the information available to us at the time the quote is prepared.
A quote may specify:
-
Project scope
-
Services included
-
Estimated timeline
-
Fees
-
Payment schedule
-
Number of revisions
-
Third-party costs
-
Other project-specific requirements
A project does not begin until the required deposit or initial payment has been received and the project has been accepted by both parties.
Requests that fall outside the original scope of work may require additional fees. We will generally communicate material changes to scope and pricing before performing substantial additional work.
Unless otherwise stated in writing, estimates are not guarantees of the exact number of hours required to complete a project.
3. Recurring Services and Care Plans
Some NJ Premium Web services are provided on a recurring monthly basis.
Recurring services may include website maintenance, updates, security monitoring, performance work, SEO services, hosting, technical support, or other services described in the applicable plan.
Monthly service fees are billed according to the payment schedule associated with the selected service.
Unused hours, tasks, or services generally do not roll over from one billing period to another unless specifically stated in writing.
Care plans and recurring service packages do not guarantee that every requested task will be completed within a particular billing period. Work is prioritized according to the service plan, available time, urgency, technical requirements, and client requests.
4. Payment
Clients agree to pay all fees according to the applicable quote, invoice, subscription, or service agreement.
Unless otherwise agreed in writing:
-
Payment is due according to the terms stated on the applicable invoice.
-
Recurring services are billed on a recurring basis.
-
Work may be paused if an account becomes substantially past due.
-
Additional work outside the agreed scope may be billed separately.
-
Third-party costs may be charged in addition to NJ Premium Web service fees.
Third-party costs may include, but are not limited to:
-
Web hosting
-
Domain registration
-
Premium WordPress plugins
-
Premium themes
-
Software licenses
-
Email services
-
Stock photography
-
Fonts
-
APIs
-
Payment-processing services
-
SaaS subscriptions
-
Advertising platforms
Unless specifically stated otherwise, these third-party services are not included in NJ Premium Web’s service fees.
5. Recurring Payment Authorization
When you authorize recurring billing, you authorize NJ Premium Web or its designated payment processor to charge the selected payment method for the applicable recurring service fees.
You are responsible for maintaining accurate payment information.
If a recurring payment fails, NJ Premium Web may attempt to process the payment again and may temporarily suspend services until the account is brought current.
6. Cancellation of Recurring Services
Clients may request cancellation of recurring services by providing written notice.
Unless a separate agreement states otherwise, cancellation will generally take effect at the end of the current paid billing period.
Fees for the current billing period are generally non-refundable once that period has begun, except where required by applicable law or otherwise agreed in writing.
Cancellation does not eliminate outstanding balances for services already performed or expenses already incurred.
7. Refunds
Because many NJ Premium Web services involve professional time, development work, configuration, research, maintenance, and customized deliverables, payments for services already performed are generally non-refundable.
Deposits and project payments may be non-refundable once work has begun.
Refund requests will be evaluated based on:
-
The service purchased
-
Work already performed
-
Expenses already incurred
-
The applicable proposal or agreement
-
The circumstances surrounding the request
-
Applicable law
Any refund terms specifically stated in a signed proposal, contract, or service agreement will control over these general Terms.
8. Client Responsibilities
Clients are responsible for providing accurate information, materials, access credentials, approvals, and other resources reasonably necessary to complete the requested work.
Clients are responsible for ensuring that materials they provide to NJ Premium Web may legally be used.
This may include:
-
Logos
-
Photographs
-
Written content
-
Product information
-
Videos
-
Fonts
-
Software
-
Customer data
-
Marketing materials
-
Trademarks
-
Other intellectual property
Delays caused by missing information, unavailable credentials, delayed approvals, third-party systems, or client-requested changes may affect project timelines.
9. Website Content and Client Materials
You retain ownership of content and materials that you provide to NJ Premium Web, subject to any rights belonging to third parties.
By providing content to us, you grant NJ Premium Web permission to use, reproduce, modify, format, and display that material as reasonably necessary to provide the contracted services.
You represent that you have the necessary rights or permissions to provide the materials to us.
NJ Premium Web is not responsible for determining whether client-provided materials infringe another person’s intellectual property rights.
10. Website Development and Deliverables
Unless otherwise stated in writing, website development includes only the functionality and deliverables specifically described in the applicable proposal or agreement.
Websites may rely on third-party technologies including WordPress, WooCommerce, hosting providers, plugins, themes, APIs, payment processors, email platforms, analytics platforms, and other software.
Third-party software may change, become unavailable, discontinue support, introduce bugs, or require additional licensing or development work.
NJ Premium Web cannot guarantee that third-party software will remain compatible with a website indefinitely.
11. WordPress and WooCommerce Services
For WordPress and WooCommerce websites, NJ Premium Web may perform updates, maintenance, optimization, troubleshooting, security-related work, and other technical services.
Website updates can occasionally cause compatibility issues, conflicts, unexpected behavior, or other technical problems.
We will use reasonable professional practices when performing maintenance and updates, but we cannot guarantee that an update or third-party software change will never cause an issue.
Where appropriate, we may recommend staging environments, backups, testing, or other precautions before significant changes are made.
12. Backups
Unless backup services are specifically included in your service plan or agreement, NJ Premium Web does not guarantee that a complete backup of your website or data is maintained by us.
Clients are responsible for maintaining appropriate backups of their website, database, files, email, and other important data unless backup services have specifically been purchased.
Where NJ Premium Web performs backup-related services, those services do not constitute an absolute guarantee against data loss.
13. SEO Services
NJ Premium Web may provide search engine optimization services intended to improve a website’s technical SEO, content, visibility, structure, performance, or other search-related factors.
SEO results depend on numerous factors outside our control, including search engine algorithms, competition, website history, industry conditions, search demand, technical changes, client actions, and third-party platforms.
NJ Premium Web does not guarantee specific search engine rankings, traffic levels, leads, sales, conversions, or revenue.
No statement regarding potential SEO performance should be interpreted as a guarantee of a particular result.
14. Search Engines and Third-Party Platforms
Search engines and third-party platforms may change their algorithms, policies, requirements, APIs, interfaces, or functionality at any time.
NJ Premium Web is not responsible for changes made by Google, Bing, social media platforms, hosting providers, plugin developers, payment processors, or other third parties that negatively affect a client’s website, rankings, traffic, functionality, or business.
15. Website Performance
Performance optimization services are intended to identify and address technical factors that may affect website performance.
Actual performance may vary depending on hosting infrastructure, network conditions, device hardware, browsers, third-party scripts, plugins, themes, APIs, content, images, traffic, and other factors.
Performance improvements are not guaranteed to produce a specific PageSpeed Insights, Lighthouse, Core Web Vitals, or other third-party score.
16. Hosting and Third-Party Services
When NJ Premium Web assists with hosting or third-party services, the underlying infrastructure may be provided by an independent third-party provider.
NJ Premium Web does not control the operation of third-party infrastructure and is not responsible for outages, service interruptions, data-center failures, provider policy changes, security incidents, or other failures caused by third parties.
Where appropriate, we may assist with communicating with a third-party provider or troubleshooting a third-party service, but such assistance does not make NJ Premium Web responsible for the third-party service.
17. Security
NJ Premium Web may provide website security monitoring, maintenance, hardening, updates, troubleshooting, or related services.
No website or online system can be guaranteed to be completely secure.
NJ Premium Web does not guarantee that a website will never experience hacking, malware, unauthorized access, data loss, vulnerabilities, denial-of-service attacks, or other security incidents.
Clients are responsible for maintaining secure passwords, administrator accounts, hosting accounts, email accounts, and other credentials under their control.
18. Accessibility
NJ Premium Web may provide accessibility-related development or remediation services.
Accessibility work is intended to improve website accessibility and may address technical issues identified through testing or other evaluation methods.
Because accessibility requirements, assistive technologies, browsers, content, third-party software, and legal interpretations can vary, NJ Premium Web does not guarantee that a website will achieve or maintain complete compliance with every accessibility standard or law unless expressly agreed to in a separate written agreement.
19. Intellectual Property
NJ Premium Web retains ownership of its pre-existing tools, processes, methods, code libraries, frameworks, templates, systems, know-how, and other materials developed independently of a client’s project.
Unless otherwise stated in writing, custom final deliverables specifically created for a client may be transferred to the client after all applicable project fees have been paid.
Third-party software, plugins, themes, fonts, stock assets, APIs, and other licensed materials remain subject to their respective licenses and terms.
Open-source software remains subject to its applicable open-source license.
20. Portfolio and Promotional Use
Unless a client specifically requests otherwise in writing, NJ Premium Web may identify completed client projects and display screenshots, links, or descriptions of completed work in our portfolio, website, social media, or marketing materials.
Confidential information will not knowingly be disclosed for promotional purposes.
Clients may request that a project not be publicly displayed.
21. Confidential Information
Each party agrees to use reasonable care when handling confidential information received from the other party.
Confidential information may include non-public business information, login credentials, customer information, proprietary materials, internal documents, and other information reasonably understood to be confidential.
Confidential information does not include information that:
-
Is publicly available through no fault of the receiving party;
-
Was already lawfully known by the receiving party;
-
Is independently developed without use of the confidential information; or
-
Must be disclosed by law or valid legal process.
22. Personal Information
NJ Premium Web may collect and process information in connection with website visitors, inquiries, clients, payments, and service delivery.
Our handling of personal information is described in our Privacy Policy, which should be reviewed separately from these Terms.
Nothing in these Terms is intended to replace or supersede applicable privacy laws or our Privacy Policy.
23. Prohibited Use
You agree not to use the NJ Premium Web website or services to:
-
Violate applicable laws or regulations;
-
Infringe intellectual property rights;
-
Distribute malware or malicious code;
-
Attempt unauthorized access to systems or accounts;
-
Interfere with website or network operations;
-
Commit fraud;
-
Impersonate another person or business;
-
Use our services for unlawful activities; or
-
Engage in activity that could reasonably cause harm to NJ Premium Web or its systems.
24. Service Availability
We will make reasonable efforts to provide services in a professional and timely manner.
However, we do not guarantee uninterrupted availability of our website, client websites, hosting environments, third-party services, or other online systems.
Service interruptions may occur because of maintenance, software updates, hosting issues, network failures, security incidents, third-party outages, or circumstances beyond our reasonable control.
25. Limitation of Liability
To the maximum extent permitted by applicable law, NJ Premium Web will not be liable for indirect, incidental, consequential, special, exemplary, or punitive damages arising from or related to the use of our website or services.
This may include loss of profits, revenue, business opportunities, data, goodwill, or anticipated savings.
To the maximum extent permitted by law, NJ Premium Web’s total liability arising from a specific service will not exceed the amount actually paid to NJ Premium Web for that service during the applicable period giving rise to the claim.
Nothing in these Terms is intended to exclude or limit liability that cannot legally be excluded or limited under applicable law.
26. No Professional or Legal Advice
NJ Premium Web provides website, development, maintenance, SEO, and related digital services.
Unless expressly stated otherwise, information provided through our website or services does not constitute legal, tax, accounting, financial, medical, or other professional advice.
Clients should consult an appropriately qualified professional when professional advice is required.
27. Indemnification
To the extent permitted by applicable law, you agree to defend, indemnify, and hold harmless NJ Premium Web and its owners, contractors, and service providers from claims, damages, liabilities, costs, and expenses arising from:
-
Materials or content supplied by you;
-
Your violation of these Terms;
-
Your violation of applicable law;
-
Your violation of another person’s intellectual property or other rights; or
-
Your misuse of our services.
28. Termination
NJ Premium Web may suspend or terminate services when reasonably necessary, including where:
-
An account is substantially past due;
-
A client materially breaches these Terms;
-
A client requests unlawful activity;
-
Continued service would create a security or legal risk; or
-
A client engages in abusive, threatening, fraudulent, or otherwise inappropriate conduct toward NJ Premium Web or its personnel.
Termination does not eliminate amounts owed for services already performed or expenses already incurred.
29. Changes to These Terms
NJ Premium Web may update these Terms from time to time.
Updated Terms will be posted on this page with a revised effective date.
Your continued use of our website or services after an updated version becomes effective constitutes acceptance of the revised Terms, to the extent permitted by applicable law.
For existing clients, material changes to an applicable service agreement may also be communicated separately where appropriate.
30. Governing Law
These Terms will be governed by the laws of the State of New Jersey, without regard to its conflict-of-law principles, except to the extent applicable law requires otherwise.
Any dispute will be subject to the jurisdiction of courts located in New Jersey, unless applicable law requires a different venue or jurisdiction.
31. Severability
If any provision of these Terms is determined to be invalid or unenforceable, the remaining provisions will continue to apply to the maximum extent permitted by law.
32. Entire Agreement
These Terms, together with any applicable proposal, statement of work, service agreement, invoice, or other written agreement between NJ Premium Web and the client, constitute the agreement governing the applicable services.
If there is a conflict between these Terms and a separately signed written agreement, the terms of the signed agreement will control for that specific project or service.
